1. Overview
These Terms & Conditions ("Terms") govern your use of the Aligned by Rya Hodges website (ryahodges.com) and any services purchased through it, including The 4 Systems Starter Kit, The Systems Vault, The Studio Audit, and any ongoing retainer engagement (collectively, the "Services"). By using this site or purchasing a Service, you agree to these Terms.
2. Services Provided
Aligned by Rya Hodges is a management studio providing operations consulting, systems design, and related support to creative businesses. The specific scope, deliverables, and timeline for any paid engagement will be confirmed in writing (by email or proposal) before work begins. Free resources, such as the Starter Kit, are provided as-is with no guarantee of fitness for any particular purpose.
3. Payment Terms
Fees for The Studio Audit and any retainer tier are due in full before work begins, unless otherwise agreed in writing. The Studio Audit is a fixed-fee, two-week engagement; retainer tiers are billed monthly in advance and continue until either party provides written notice of cancellation, per the notice period stated in your service agreement.
Where a promotional credit applies (for example, a Systems Vault purchase credited toward the Audit, or an Audit fee credited toward a first retainer month), that credit is only valid within the window stated on the site or in your proposal, and is not transferable or redeemable for cash.
4. Refunds
Because engagements involve real time and scheduling commitments from the start, fees are generally non-refundable once work has begun. If you have a concern about your engagement, reach out directly, refunds or credits may be considered at Aligned's discretion on a case-by-case basis.
5. Client Responsibilities
To deliver the Services effectively, Aligned relies on timely access to relevant information, tools, logins, and feedback from the client. Delays caused by a client's unavailability or failure to provide needed access may extend timelines without extending fees owed.
6. Intellectual Property
Templates, frameworks, and materials used to deliver the Services (including anything provided as part of The Systems Vault or Starter Kit) remain the intellectual property of Aligned by Rya Hodges. Once an engagement is paid in full, the client owns the specific deliverables created for their business (such as a completed roadmap, configured workflow, or built-out system), but not the underlying templates or methodology used to create them, which Aligned may reuse with other clients.
7. Confidentiality
Aligned will treat any non-public business information shared during an engagement as confidential and will not disclose it to third parties, except as needed to deliver the Services (for example, coordinating with a client's existing contractors) or as required by law.
8. No Guarantee of Results
Aligned provides operational expertise and systems support, but cannot guarantee specific business outcomes, revenue, or growth. Results depend on many factors outside Aligned's control, including the client's own execution.
9. Limitation of Liability
To the fullest extent permitted by law, Aligned by Rya Hodges's total liability for any claim arising from the Services is limited to the amount paid by the client for the specific engagement giving rise to the claim. Aligned is not liable for indirect, incidental, or consequential damages.
10. Termination
Either party may terminate an ongoing retainer engagement with written notice, per the notice period stated in the service agreement. Work completed and fees owed up to the termination date remain payable.
11. Governing Law
These Terms are governed by the laws of the State of [Insert Your State], without regard to conflict of law principles.
12. Changes to These Terms
These Terms may be updated from time to time. Continued use of the site or Services after changes are posted constitutes acceptance of the updated Terms.
